1. Agreement
These Terms of Use ("Terms") are an agreement between you and Hatching Point LLC ("Hatching Point," "we," "us," or "our") governing LocatorDesk, its account service, and its related websites (collectively, the "Service"). By downloading, accessing, purchasing, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
You must be at least 18 years old or the age of legal majority where you live and able to enter a binding contract. If you use LocatorDesk for a business, brokerage, or other organization, you represent that you have authority to accept these Terms for that organization.
2. What LocatorDesk does
LocatorDesk is a mobile organization tool for apartment locators. It can help capture inquiries, organize renter-stated preferences, track follow-ups and activity, compare properties, prepare review-before-send drafts, and summarize business activity. Eligible plans may also provide authenticated apartment-discovery and commute-estimate features through third-party providers.
LocatorDesk is not a brokerage, property manager, multiple-listing service, legal adviser, fair-housing adviser, or source of guaranteed property availability. It does not replace your professional judgment, licensing obligations, supervising broker, authorized source records, or independent verification.
3. Accounts and security
- You must provide a valid email address and keep your account information accurate.
- You are responsible for access to your email, device, one-time sign-in codes, and authenticated session.
- You may not share an account in a way that circumvents plan limits or security controls.
- You must promptly notify us at support@hatchingpoint.com if you suspect unauthorized access.
- You may not create accounts or make requests through automated or deceptive means.
You can sign out, delete local data, or permanently delete your LocatorDesk account from Settings. Account deletion immediately disables hosted account access and invalidates active sessions, schedules user-linked authentication and service records for deletion in bounded batches with retries until the purge completes, and clears the current local workspace. It does not cancel an App Store subscription; subscriptions must be managed through Apple.
4. Your records and lawful use
You retain your rights in the lead, renter, property, business, and message information you place in LocatorDesk. You are responsible for that information and for having the authority, notice, consent, licenses, contracts, and broker approval required to collect and use it.
You agree that you will not use LocatorDesk to:
- Discriminate in housing or use protected traits, demographic proxies, or unlawful steering criteria.
- Send spam, ignore an opt-out, misrepresent your identity, or contact someone without a lawful basis.
- Scrape, copy, import, or redistribute property, social-platform, or other data without authorization.
- Rank or recommend housing based on locator compensation instead of the renter's stated needs.
- Record sensitive personal information that is not reasonably needed for the requested locating service.
- Violate fair-housing, real-estate licensing, advertising, privacy, telemarketing, or other applicable law.
- Upload malicious material, probe security controls, interfere with the Service, or exceed rate limits.
Nothing in LocatorDesk authorizes access to Instagram, Facebook, TikTok, listing portals, or another service outside that service's approved tools and terms.
5. Human review and property verification
LocatorDesk does not automatically send messages. You are responsible for reviewing every draft, selecting the recipient and channel, honoring consent or opt-out status, and confirming that the final communication is accurate and lawful before you send it.
Apartment prices, availability, units, concessions, fees, pet rules, amenities, commute estimates, and compensation can change or be incomplete. Before sharing or relying on a result, verify material facts with the property, your supervising broker, and an authorized current source. Commute output is an estimate and is not a promise of travel time.
6. LocatorDesk Pro and App Store billing
LocatorDesk Pro may be offered through weekly and annual auto-renewing subscriptions. The exact features, price, currency, billing period, introductory offer eligibility, and renewal terms displayed on Apple's purchase sheet at confirmation are authoritative and may vary by storefront. Core local features may remain available without Pro; eligible live-provider features and quotas may require an active Pro entitlement.
- Payment is charged to your Apple Account when you confirm a purchase.
- A subscription renews automatically unless you cancel at least 24 hours before the current period ends.
- Your Apple Account is charged for renewal within 24 hours before the current period ends.
- You can manage or cancel in iOS Settings under your Apple Account and Subscriptions.
- If an introductory offer is shown, Apple determines eligibility and the purchase sheet states its duration and renewal price.
- Deleting LocatorDesk or your LocatorDesk account does not cancel an App Store subscription.
Use Restore Purchases in the app to refresh eligible access. Apple processes payments and refund requests; requests can be submitted through reportaproblem.apple.com. We do not control Apple's eligibility or refund decisions.
7. Third-party services
LocatorDesk depends on services operated by others, including Convex and Convex Auth for identity and the hosted backend; Resend only for requested transactional sign-in email delivery; Apple for purchases and platform services; RentCast for requested apartment searches; Google Routes for requested commute estimates; and support or hosting providers. During the backend transition, Supabase is used only for the temporary migration and rollback process described below. Their terms and privacy policies govern their services. Third-party data, coverage, APIs, quotas, and availability may change, be restricted, or end without notice. We may modify, replace, limit, or discontinue a related LocatorDesk feature when reasonably necessary.
A restricted legacy Supabase copy is retained for migration validation and rollback during the 14 days after the Convex-backed TestFlight cutover. After the 14-day window, Supabase is decommissioned for LocatorDesk once migration validation is complete. If validation is not complete at day 14, the copy remains restricted to migration and rollback and is decommissioned as soon as validation completes.
Links and share actions can open services outside LocatorDesk. We do not control the content, security, availability, or privacy practices of those destinations.
8. License and ownership
Subject to these Terms and applicable App Store rules, Hatching Point grants you a limited, revocable, non-exclusive, non-transferable license to install and use LocatorDesk on Apple-branded devices you own or control for your internal business use. You may not copy, sell, sublicense, rent, distribute, reverse engineer, bypass security or entitlement controls, or create derivative works from the Service except where applicable law does not permit that restriction.
LocatorDesk, its software, design, branding, and documentation are owned by Hatching Point or its licensors and are protected by intellectual-property law. If you send suggestions, you permit us to use them without restriction or payment, without identifying you publicly unless you agree.
9. Availability, suspension, and termination
We may update the Service and may impose reasonable usage, security, or provider limits. We may suspend or terminate access if we reasonably believe an account violates these Terms, threatens the Service or another person, is fraudulent, or must be restricted to comply with law. Where practical, we will provide notice and an opportunity to export local information or correct the issue.
You may stop using LocatorDesk at any time. Terms that by their nature should survive termination—including ownership, disclaimers, limits of liability, and dispute provisions—will survive.
10. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL PROPERTY, ROUTE, MATCH, DRAFT, AND BUSINESS OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE." HATCHING POINT DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND RESULTS.
We do not warrant that the Service will be uninterrupted, error-free, secure, or compatible with every device; that third-party information is complete or current; or that LocatorDesk will produce leads, leases, commissions, regulatory compliance, or any other business outcome. Some jurisdictions do not allow certain warranty exclusions, so some of these exclusions may not apply to you.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HATCHING POINT AND ITS MEMBERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, COMMISSIONS, CLIENTS, GOODWILL, USE, OR DATA, ARISING FROM OR RELATED TO THE SERVICE, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID FOR LOCATORDESK DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR US$100. These limits do not apply where prohibited or to liability that cannot lawfully be limited.
12. Indemnity
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Hatching Point and its members, employees, contractors, and service providers from third-party claims, damages, fines, losses, and reasonable costs arising from your records, communications, professional services, violation of law, or breach of these Terms. This section does not require indemnification for Hatching Point's own unlawful conduct.
13. Apple terms
These Terms are between you and Hatching Point, not Apple. Hatching Point—not Apple—is responsible for LocatorDesk, maintenance and support, product claims, and any claim that the app infringes a third party's intellectual-property rights. Apple has no obligation to provide maintenance or support and, to the extent allowed by law, has no warranty obligation for LocatorDesk. You represent that you are not located in a country subject to a U.S. government embargo or designated as supporting terrorism and are not on a prohibited-party list. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
14. Governing law and general terms
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except that mandatory consumer protections in your home jurisdiction continue to apply. Any claim not required by law to proceed elsewhere will be brought in a state or federal court with jurisdiction in Delaware, and you and Hatching Point consent to that court's jurisdiction.
If a provision is unenforceable, it will be modified only as much as needed and the remaining provisions will remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization, financing, merger, or sale. These Terms, the Privacy Policy, the Apple purchase terms, and any in-app disclosures are the entire agreement about the Service.
15. Changes and contact
We may update these Terms to reflect changes in the Service, providers, law, or security practices. We will update the effective date and give additional notice when required. Continued use after revised Terms become effective means you accept them; if you do not accept a change, stop using the Service and cancel any subscription.
